Terms of Service

These Terms of Service govern your access to and use of Amarnafi Business OS ("Amarnafi," the "Service," "we," "us," or "our"). Amarnafi is operated by Changkuoth Duer Door. By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.

If you use Amarnafi on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.

Amarnafi is a business intelligence operating system designed to help users organize business information, identify risks and opportunities, evaluate evidence, track goals, conduct experiments, analyze business performance, and generate business intelligence, recommendations, and related insights.

Features may use automated systems and artificial intelligence to analyze information and generate recommendations or other outputs. These outputs may be incomplete, inaccurate, or inappropriate for a particular business or circumstance.

Amarnafi provides information, analysis, recommendations, and software tools. It does not replace your independent judgment or professional legal, tax, accounting, investment, financial, insurance, employment, regulatory, or other specialized advice.

You remain responsible for your business decisions, actions, and results and for verifying information before relying on it. No recommendation or output from Amarnafi creates a fiduciary, professional-adviser, partnership, agency, or similar relationship.

You must be legally capable of entering into these Terms and must provide accurate account information. You are responsible for protecting your credentials and for activity performed through your account.

You must promptly notify Amarnafi through the Support page if you reasonably believe your account or credentials have been compromised. You may not access another user's account without authorization.

Paid access is billed at the price, currency, and billing interval disclosed to you before purchase. Unless otherwise stated at checkout, a paid subscription automatically renews for successive billing periods until canceled.

You authorize the applicable payment provider to charge the payment method associated with your subscription for recurring fees and applicable taxes when due. You can manage or cancel your subscription through the billing-management tools made available by Amarnafi.

Unless otherwise disclosed at purchase or required by applicable law, cancellation stops future renewal and your paid access continues through the end of the billing period already paid for. Fees already paid are generally non-refundable except where a refund is required by applicable law or expressly offered by Amarnafi.

We may change subscription pricing or plan features. When required, we will provide notice before a pricing change applies to a future renewal.

As between you and Amarnafi, you retain your rights in the business information, customer information, financial information, content, and other data you submit to the Service ("Customer Content"). You are responsible for the accuracy and legality of Customer Content and for having the rights and permissions necessary to provide it to Amarnafi.

You grant Amarnafi a limited right to host, process, transmit, reproduce, and otherwise use Customer Content as reasonably necessary to operate, secure, maintain, support, and provide the Service to you and as otherwise described in the Privacy Policy.

Amarnafi does not obtain ownership of your Customer Content merely because you submit it to the Service.

Amarnafi is designed to keep one customer's private business information separate from other customers. We do not sell your private business data or personal information, and we do not disclose one customer's confidential business information to another customer except when directed or authorized by the customer or when legally required.

Amarnafi does not use private Customer Content to train shared or general-purpose artificial intelligence models unless we first provide separate disclosure and obtain explicit authorization where required.

You may not use Amarnafi to violate applicable law; infringe or misappropriate another person's rights; compromise another person's account; distribute malware or harmful code; interfere with the Service; abuse system resources; attempt unauthorized access; probe or defeat security controls; or facilitate fraud, deception, or other unlawful activity.

You may not reverse engineer or attempt to extract non-public source code, models, prompts, system logic, or proprietary components of the Service except to the limited extent such a restriction is prohibited by applicable law.

Amarnafi, including its software, interface, design, branding, workflows, documentation, and proprietary technology, is owned by or licensed to the operator and is protected by applicable intellectual property laws.

Subject to these Terms and an applicable subscription, you receive a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your lawful internal business purposes. No ownership interest in Amarnafi is transferred to you.

Amarnafi may rely on or integrate with third-party providers for infrastructure, authentication, payments, communications, analytics, artificial intelligence, deployment, and other functionality. Those services may be governed by their own terms and privacy practices. Amarnafi is not responsible for third-party products or services that are outside our reasonable control.

We may maintain, update, improve, add, remove, suspend, or discontinue features as Amarnafi evolves. We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free, or permanently available operation.

We may perform maintenance or take reasonable measures necessary to protect users, data, infrastructure, or the integrity of the Service.

We may restrict or suspend access when reasonably necessary to protect the Service or its users, address suspected fraud or abuse, enforce these Terms, respond to legal requirements, investigate security concerns, or address nonpayment.

You may stop using the Service at any time. Ending use of the Service does not automatically cancel an active paid subscription; use the available billing-management tools to stop future renewal.

Provisions that by their nature should survive termination, including provisions concerning ownership, disclaimers, liability, and disputes, will survive to the extent applicable.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMARNAFI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Business outcomes depend on many factors outside Amarnafi's control. We do not guarantee revenue, profitability, growth, financing, customer acquisition, business survival, regulatory compliance, or any other business result.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHANGKUOTH DUER DOOR, AMARNAFI, AND THEIR APPLICABLE SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITIES, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF CHANGKUOTH DUER DOOR AND AMARNAFI FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AMARNAFI FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

These Terms are governed by the laws of the State of Iowa, United States, without regard to conflict-of-laws principles, except where applicable law requires otherwise.

Before filing a legal action concerning these Terms or the Service, you and Amarnafi agree to make a reasonable good-faith effort to resolve the dispute informally through the Amarnafi Support channel. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief when appropriate or exercising rights that cannot lawfully be waived.

We may update these Terms as Amarnafi evolves. When changes are material, we may provide notice through the Service, by email, or by another appropriate method. The effective date shown above identifies the current version. Your continued use after updated Terms become effective constitutes acceptance where permitted by law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later. These Terms and the policies expressly incorporated into them constitute the agreement between you and Amarnafi concerning the Service, except for any separate written agreement that expressly applies.
